These terms govern the relationship between EquityBridge Holdings LLC, doing business as The California Experience ("TCE," "the Company," cesar@jobflowsos.com) and any roofing contractor ("the Contractor") who applies for, or is accepted into, a TCE exclusive territory partnership.
By submitting an application or entering into a territory agreement, the Contractor agrees to be bound by these terms.
The California Experience is a private exclusive territory partnership program. Accepted contractors receive exclusive access to homeowner opportunities generated within a defined local territory in the San Gabriel Valley.
TCE is not a lead marketplace, a shared directory, or a pay-per-lead service. Homeowner opportunities generated from a Contractor's assigned territory are routed exclusively to that Contractor while the partnership is active and performance standards are being met.
Access to TCE is invitation-based. Most contractors are first evaluated through SGV Roofs, the Company's free contractor network. Performance inside SGV Roofs — including response speed, contact rate, close rate, homeowner feedback, and crew capacity — is the primary basis for TCE consideration.
The Company is under no obligation to invite any contractor into TCE and may decline applications at its sole discretion.
Each TCE partnership specifies an exact protected territory — one city, selected ZIP codes, or a defined group of nearby cities. The territory is documented in the Contractor's territory agreement before activation.
TCE will not route homeowner opportunities from the Contractor's assigned territory to another active TCE contractor while the agreement is active and performance standards are being met.
TCE partnerships require an exclusive territory fee ranging from $5,000 to $10,000 per month, depending on territory size, city coverage, and homeowner demand volume. The exact monthly fee is confirmed in the territory agreement before activation.
The monthly fee covers protected territory access, exclusive opportunity routing, a dedicated tracked phone number, performance oversight, and ongoing territory management. No additional fees are charged on top of the monthly fee unless the Contractor separately purchases additional services.
The monthly fee does not guarantee a specific number of homeowner opportunities, appointments, jobs, or revenue. Homeowner demand may vary due to seasonality, market conditions, and other factors outside the Company's control.
Territory protection depends on the Contractor properly handling the opportunities received. Performance standards include:
If performance falls below the agreed standard, TCE will provide written notice and open a corrective review period before taking action. If the issue is not resolved, TCE may reduce, pause, or reassign the territory.
If a Contractor's territory is paused or terminated for any reason, the Contractor loses access to new opportunity routing immediately.
Homeowner opportunities already in the Contractor's active pipeline at the time of termination — defined as opportunities with documented contact activity before the termination timestamp — remain the Contractor's responsibility to follow up on and close. TCE does not claw back in-flight opportunities but will not generate or route new ones after termination takes effect.
The Contractor must maintain throughout the partnership:
If any required credential lapses, the Contractor is immediately paused from receiving opportunities across all tiers until the credential is reinstated and verified by the Company.
TCE does not guarantee a specific number of homeowner opportunities, appointments, closed jobs, or revenue. The territory revenue calculator on the TCE website is an illustrative tool only and does not constitute a promise or projection of actual results.
Results depend on homeowner demand, the Contractor's response speed, sales process, pricing, crew capacity, reputation, and how well the Contractor serves each homeowner.
Nothing in these terms creates an employment, partnership, joint venture, or agency relationship between the Company and the Contractor. The Contractor operates as an independent business at all times and is solely responsible for all work performed, including quality, workmanship, permitting, materials, and compliance with applicable law.
The Company is not a party to, and assumes no liability for, any contract or agreement between the Contractor and a homeowner.
